General Meeting of Shareholders

General Meeting of Shareholders (AGM) of the Company is the highest entity of the Company whose authority is governed by the laws and Articles of Association. AGM has the authority to, among other things, appoint and dismiss members of the Board of Commissioners and Board of Directors, evaluate the performance of the Board of Commissioners and Board of Directors, approve the amendments to the Company’s Articles of Association, approve the financial statements, and to determine the remuneration of the members of the Board of Commissioners and Board of Directors.

The decisions taken at the AGM are based on the interests of the Company. AGM or shareholders can not intervene against the duties, functions and powers of the Board of Commissioners and Board of Directors, without prejudice to the authority of the AGM to exercise this right in accordance with the Statutes and regulations.
